Terms and Conditions
These Terms govern your access to and use of all content, products, and services made available by Esr Technology Limited (“Esr Technology”, “we”, “us”, “our”), including IT consulting, architecture and delivery, cloud and infrastructure work, cybersecurity services, software integration, managed support, training, and related professional services (collectively, the “Services”).
Your use of the Services is subject to your acceptance, without modification, of these Terms together with any order form, statement of work, master services agreement, or other written contract executed between you and Esr Technology (together, the “Agreement”).
Please read the Agreement carefully. By accessing our website, requesting a consultation, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
Intellectual property
Except as expressly agreed in writing, the Agreement does not transfer ownership of our or third-party intellectual property to you. Pre-existing materials, methodologies, tools, and reusable components remain the property of Esr Technology Limited or its licensors. Deliverables identified as yours in a signed engagement document are licensed or assigned as stated in that document.
Service provision
Professional Services are supplied according to agreed timelines, milestones, and acceptance criteria set out in a statement of work or equivalent. Unless otherwise stated, invoices are payable within thirty (30) days of the invoice date. We may suspend work for material non-payment. Outcomes such as uptime, performance, or adoption depend on factors outside our reasonable control, including third-party platforms, your internal change capacity, and supplier behaviour; we commit to exercising reasonable skill and care, not to guaranteeing specific business results unless expressly warranted in writing.
Third-party products and platforms
Engagements often involve hyperscale clouds, SaaS vendors, telecommunications carriers, or open-source components. Your use of those third-party services is governed by their terms. Esr Technology is not responsible for third-party outages, pricing changes, feature deprecations, or policy updates, and shall not be liable for losses arising solely from third-party services selected or controlled by you.
Accounts and access
Where Services require portals, ticketing accounts, or privileged access to your environments, you agree to provide accurate information and maintain the security of credentials issued to your team. You are responsible for activity conducted under accounts you control, including any misuse by your personnel or contractors.
Confidentiality
Each party will protect the other’s non-public information using at least reasonable care and will use it only to perform under the Agreement. Confidentiality obligations survive termination for the period stated in the underlying contract or, if none is stated, for three (3) years, except for trade secrets which survive for so long as they remain secret.
Termination
Either party may terminate Services in line with the notice periods in your order documentation. We may suspend or terminate access immediately where necessary to address security risk, unlawful activity, or material breach. Provisions that by their nature should survive—including ownership, confidentiality, disclaimers, indemnities, and limitations—survive termination.
Disclaimer
Except where prohibited by law, the Services are provided “as is” and “as available”. Esr Technology Limited and its suppliers disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Jurisdiction and applicable law
Unless a separate contract specifies otherwise for business customers, the Agreement and any dispute arising out of or relating to it shall be governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory provisions of applicable consumer law where you act as a consumer.
Changes
Esr Technology Limited may update these website Terms from time to time. Material changes will be posted here with an updated effective date. For active client engagements, the written contract in place between us continues to govern service delivery unless we agree otherwise in writing.
